MYHABIT and WhoWhatWear Denim Contest

OFFICIAL RULES

Please read these rules before entering the MYHABIT and WhoWhatWear Denim Contest (“Contest”). By submitting an entry, you acknowledge that you have read and agree to be bound by these Official Rules and the decisions of Sponsor and the judges, and that you satisfy all eligibility requirements.

ELIGIBILITY.Open to legal residents of the 50 United States and the District of Columbia who are the older of 18 years of age or the legal age of majority in his/her state of residence at the time of entry. Not open to employees or independent contractors, or immediate family members (spouses, domestic partners, parents, grandparents, siblings, children, and grandchildren) or those living in the same household of employees or independent contractors of Sponsor, Clique Media, Inc. (“WhoWhatWear”), any entity involved in any aspect of the Contest (including funding, judging or administration), advertising agencies, and each of their respective parents, subsidiaries, affiliates, advisors, or advertising/promotion agencies.

HOW TO ENTER. Contest entry period begins at 12:00:01 a.m. (ET) on August 13, 2012 and ends at 11:59:59 p.m. (ET) on August 27, 2012 (the “Entry Period”). To enter, during the Entry Period you must: during the Entry Period you must:

Create a Pinterest board that epitomizes the combination of denim with high-fashion (the “Board”). The Board must contain a minimum of five pins. The Board name must be titled “MYHABIT and WhoWhatWear Denim Contest” and the Board category must be “Women’s Fashion”;
Go to www.facebook.com/MyHabit and click on the “Denim Contest” tab;
Click the “Like” button to “Like” the page www.facebook.com/MyHabit if you have not already done so; and
Complete and submit the entry form and include the URL link to your Board.

The Board and the entry form are collectively referred to as the “Entry.” You must have a Pinterest account and be logged in to your account to create a Board. To open a Pinterest account, you may go to http://pinterest.com/ and request an invitation to open an account. Pinterest membership is not guaranteed by Sponsor. You must have a Facebook account and be logged in to your account to “Like” the page www.facebook.com/MyHabit. Limit one Entry per person and e-mail address. In the event an entrant submits more than one Entry, the first Entry received by Sponsor will be deemed that entrant’s Entry. Sponsor reserves the right in its sole and unfettered discretion to disqualify at any time any Entry containing obscene, offensive, pornographic or sexually explicit material, or libelous, disparaging or other inappropriate content or subject matter (as determined by Sponsor in its sole discretion). Sponsor’s (or its contractor’s) servers and clock will be deemed the official clock for all phases of the Contest, and entrant’s proof of a submission does not constitute proof of receipt by Sponsor. Sponsor is not responsible for (i) lost, misdirected, late, illegible, incomplete or unintelligible entries, or for inaccurate entry information, whether caused by entrant or by any of the equipment or programming associated with or utilized in the Contest, or by any technical or human errors that may occur in the processing entries; or (ii) any printing, production, human or typographical errors in any materials associated with the Contest.

JUDGING. From August 29, 2012 through September 6, 2012, each qualified Entry will be judged and rated by a panel of qualified judges selected by Sponsor using the following criteria: (a) how well the Board epitomizes the combination of denim with high-fashion; (b) the uniqueness of styling combinations on the Board; and (c) how well the entrant integrates accessories products into his/her Board (collectively, the “Judging Criteria”). One Grand Prize winner will be selected by the judges based on the Judging Criteria. In the event of a tie, the tie will be broken by the tied entries being judged and rated based on how well the Board epitomizes the combination of denim with high-fashion. The winner will be notified by e-mail on or about September 10, 2012. In the event the potential winner’s Entry is disqualified, the entrant who submitted the next highest rated Entry will be the potential Grand Prize winner and must comply with the requirements in these Official Rules. All decisions of the judges are final and binding.

PRIZE. One Grand Prize winner will be awarded $3,000.00 in MYHABIT gift cards. The total approximate retail value (“ARV”) of the Grand Prize is $3,000.00. The winner must have an Amazon.com or MYHABIT account in order to redeem the MYHABIT gift cards (“GC”). The GC may only be used for purchases of eligible goods at MYHABIT, or Amazon.com or certain of its affiliated websites. Redemption of the GC will be subject to our standard terms, conditions and restrictions applicable to Amazon.com Gift Cards in effect on the day of issuance of the GC. The GC cannot be redeemed for the purchase of gift cards. Except as required by law, the GC cannot be reloaded, resold, transferred for value, redeemed for cash, or applied to any other account. Amazon is not responsible if any GC is lost, stolen, destroyed or used without permission. If the GC is lost or stolen, it will not be replaced. See www.amazon.com/gc-legal for complete terms and conditions. The GC is issued and © 2012 by ACI Gift Cards, Inc., a Washington corporation. The winner will be: (a) responsible for paying all costs and expenses related to the prize that are not specifically mentioned, including, but not limited to, taxes, and any other expenses that might reasonably be incurred by the winner in receiving or using the prize; and (b) required to submit his/her social security number or tax payer ID number to Sponsor in order to claim the prize. The prize will be awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

ADDITIONAL CONDITIONS OF PARTICIPATION. By submitting an Entry, each entrant grants Sponsor and its affiliates the right to use the URL link to the entrant’s Board, along with entrant’s name, in any promotional materials produced by Sponsor or its affiliates. All federal, state and local laws and regulations apply. Entrants agree to be bound by the terms of these Official Rules and by the decisions of Sponsor and the judges, which are final and binding on all matters pertaining to the Contest. The winner will be required to sign and return an Affidavit of Eligibility, a Liability/Publicity Release, and provide any additional tax filing information (such as a social security number or tax payer ID number) within 3 business days following the date of first attempted notification. Prior to awarding a prize, Sponsor may, in its sole discretion, require the potential winner to sign such additional documents Sponsor deems necessary to confirm eligibility, to obtain a liability/publicity release, and to award any prize. Failure to return any required document by the date stated in these rules or as otherwise required by Sponsor will deem the potential winner as ineligible to receive a prize. If any documentation is not returned by the specified dates or if the potential winner is deemed ineligible prior to the prize being awarded, Sponsor may, at its election, award the prize to the entrant who submitted the next highest rated Entry to be the next potential Grand Prize winner. Acceptance of prize by winner constitutes permission for Sponsor and its agencies to use winner’s name, image or likeness for advertising and promotional purposes without additional compensation, unless prohibited by law. By participating in the Contest, each entrant agrees that Sponsor and its affiliates, and any agents, employees, contractors, or representatives of Sponsor or any of its affiliates, and Facebook and Pinterest (collectively, the “Released Parties”), will have no liability, and will be held harmless by such entrants to the maximum extent permitted by law for any liability, loss, injury, or damage to property or to person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of participation in the Contest, or by reason of the acceptance, possession, use or misuse of the prize, even if caused or contributed to by the negligence of any of the Released Parties. Contest is governed by the laws of the United States and the State of Washington. As a condition of participating in this Contest, entrants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in King County, Washington having jurisdiction. Further, in any such dispute, under no circumstances will entrants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental or consequential damages, including attorneys' fees, other than entrant’s actual out-of-pocket expenses (e.g. costs associated with entering), and entrant further waives all rights to have damages multiplied or increased. Contest is void where prohibited by law. Entrants agree that the decisions of Sponsor and the judges related to the Contest are final.

Sponsor is collecting personal information primarily to process the Entries and to contact you if necessary, but also to potentially contact you for marketing purposes. If you do not wish to be contacted for marketing purposes, you will be provided with a method to opt-out from future communications. You may update or change your “My e-mail settings” in your MYHABIT.com account at www.myhabit.com/emailpreference. Sponsor will share your information with third parties that have a need to know, such as the judging panels, and by entering, you agree to the sharing of your information with the judging panels and third parties Sponsor retains to assist in administering the Contest. If you do not agree to these terms or to Sponsor’s privacy notice located at www.myhabit.com/help/200645030, please do not submit an Entry.

ADDITIONAL TERMS. To the maximum extent permitted by law, Sponsor reserves the right, in its sole discretion, to change these rules or cancel the Contest at any time, or to modify, terminate, or suspend the Contest should viruses, worms, bugs, unauthorized human intervention, or other causes beyond Sponsor’s control corrupt or impair the administration, security, fairness, or proper play of the Contest or submission of Entries. Sponsor is not responsible for any human or other error that may occur in the processing of the Entries, nor is it responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction, or unauthorized access to, or alteration of, Entries, or for technical, network, telephone, computer, hardware or software, malfunctions of any kind, or inaccurate transmission of, or failure to receive any entry information on account of technical problems or traffic congestion on the Internet or at any Web site. Sponsor is not responsible for injury or damage to any entrant’s or any other computer resulting from downloading any materials in connection with the Contest. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the entry process, the outcome of the Contest, or the operation of the Contest or Web site; to be acting in violation of these rules; or to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS AFFILIATES RESERVE THE RIGHT TO SEEK DAMAGES AND/OR OTHER RELIEF FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

MISCELLANEOUS. The Contest and all accompanying materials are copyright © 2012 by Amazon Services LLC. All rights reserved. No transfer, assignment, cash redemption or substitution of prize is permitted except by Sponsor due to prize availability and then with a prize of equal or greater value.

WINNER’S LIST. After the winner is confirmed, the winner’s name will be posted at www.myhabit.com/help/200983400 until March 10, 2013.
